Sociedades desportivas: insolvência e análise dos instrumentos jurídicos para resolução das crises financeiras

Abstract

O presente trabalho irá abordar um tema que assumiu grande importancia nos ultimos tempos e é de grande destaque em todo o mundo: O football. Ou seja, iremos falar acerca das sociedades desportivas, desde a suas formas de constituição até as dificuldades enfrentadas pelas mesmas em casos de crises financeiras, e, por fim, as soluções que podem ser dadas em cada caso. Sem dúvida umas das maiores novidades trazidas ao mundo do desporto foi a imposição legal de que as anteriores associações desportivas devam adotar como forma societária a sociedade anônima ou a sociedade unipessoal por quotas. Porém, vemos que a actual Lei das sociedades desportivas, o DL nº 10/2013, não vem sendo suficiente para responder a todas necessidades das sociedades desportivas. Por isso, as próprias sociedades viram-se obrigados a tomar outras medidas para combater a crise. Entre elas, destacamos a iniciativa dos próprios clubes e suas federações, além dos dispositivos legais postos pelo legislador para ajudar as empresas no geral. Em primeiro lugar, destacamos as medidas tomadas pelos clubes para combater a crise, como pode ser o caso dos fundos de investimento dos jogadores ou os contratos de transmissão televisiva. Por outro lado, no que diz respeito às federações, o estudo realizado aos instrumentos do Fair play financeiro e Break even rule, nos possibilitará concluir que as finanças dos seus membros é um tema que realmente lhes preocupa. Ademais, abordaremos as opções legais que, em caso de liquidação, as sociedades desportivas devem recorrer. Isto é: PER e RERE. Finalmente, estudaremos a insolvência do clube fundador e quais consequências da mesma para as respectivas sociedades desportivas.

This work will address a theme that has taken on great importance in recent times and is of great prominence around the world: Futbol. In other words, we will talk about sports societies, from their forms of constitution to the difficulties faced by them in cases of financial crises, and, finally, the solutions that can be given in each case. Undoubtedly one of the biggest novelties brought to the world of sport was the legal imposition that previous sports associations should adopt as a corporate form the corporation or the single-person company by quotas. However, we see that the current Law on sports societies, DL No. 10/2013, has not been sufficient to meet all the needs of sports societies. For this reason, societies themselves have been forced to take other measures to combat the crisis. Among them, we highlight the initiative of the clubs themselves and their federations, in addition to the legal provisions put by the legislature to help companies in general. Firstly, we highlight the measures taken by clubs to combat the crisis, as may be the case with players' investment funds or television broadcast contracts. On the other hand, with regard to federations, the study of the instruments of financial fair play and Break even rule, will enable us to conclude that the finances of its members is a topic that really concerns them. In addition, we will address the legal options that, in the event of liquidation, sports companies must appeal. That is: PER and RERE. Finally, we will study the insolvency of the founding club and what consequences it has for their sports companies.
