Resumo(s)O presente trabalho diz respeito a um projecto de investigação que tem por foco as transformações verificadas a nível dos Sistemas de Informação (SI) de instituições bancárias submetidas a processos de Fusão e Aquisição (F&A). Esta investigação, que se inscreve numa abordagem interpretativista, tem como suporte fundamental o estudo do caso do processo de fusão de vários bancos conducente à criação de um grande banco nacional da actualidade: o Banco BPI. Neste processo de investigação são conciliadas diversas técnicas, que decorrem da minha qualidade de observador participante, se completam com a análise de um conjunto de documentos do processo e se consolidam num conjunto de entrevistas semi-estruturadas a actores de topo na condução daquele. O Banco BPI, nasceu em Jan./1998, como resultado da transformação jurídica do ex- Banco de Fomento Exterior (BFE), naquela entidade e a posterior integração, por fusão, em datas diferentes, do ex-Banco Fonsecas & Burnay (BFB, Maio/1998), ex-Banco Borges & Irmão (BBI, Julho/1998- e ex-Universo Banco Directo (UBD, Dezembro/1998-, que tinha sido adquirido à Sonae - SGPS, em Junho/98. De referir, a este propósito, que a plataforma informática seleccionada para suportar os SI’s dos vários bancos foi a do BFB pelo que, em Maio/1998, registou-se um movimento inverso da fusão jurídica, já que os SI’s do BFE foram objecto de migração informática para a infra-estrutura tecnológica do BFB. Para suportar este trabalho de investigação procedemos a uma revisão da literatura sobre as F&A’s que ocorreram no sistema financeiro, desde o início da década de 80 até à actualidade, nos países mais desenvolvidos, nomeadamente, nos EUA e na Europa dos Quinze, focalizando a nossa atenção no papel que as TI/SI’s desempenharam nesses processos, dada a sua qualificação como factor crítico de (não) sucesso nas F&A’s que lhe tem sido atribuída por diversos académicos (Epstein 2005; Meckl, 2004; Jonhston et al., 1996) e consultores ou profissionais desta área (Ãberg et al., 2004; Brown et al., 2003; McKinsey, 2001; Accenture, 2001, 2002a, 2002b; Popovich, 2001; KPMG, 1999). Pela análise à literatura efectuada constatámos que estes processos se caracterizam por uma grande complexidade, especialmente no domínio das TSI’s (Meckl, 2004) e exigem uma gestão muito cuidadosa em diversas áreas sociais (mudança, cultura organizacional, recursos humanos, comunicação, liderança, reestruturação organizacional, etc.), assim como um planeamento detalhado do processo de integração, das rotinas de migração e implementação, baseado nas estratégias de estratégias de negócio, processos de trabalho, necessidades dos sistemas e objectivos de sinergias (Meckl, 2004; Ãberg et al., 2004; Brown et al., 2003; Accenture, 2001; KPMG, 1999; Jonhston et al., 1996) e controlo rigoroso de todas as fases do projecto, para que as mesmas sejam bem sucedidas. No estudo do caso do Banco BPI foi analisado o contributo das diversas áreas para a obtenção do resultado final que considerámos altamente positivo, face à investigação realizada. No âmbito desta tese de dissertação apresenta-se uma breve história de cada um dos bancos que deram origem ao Banco BPI (BFB, BBI, BFE e UBD), passando depois à descrição da trajectória de cada um deles até ao momento da fusão e integração operacional e identificando, seguidamente, os factores que estiveram na origem da escolha da plataforma informática do (BFB), para a qual migraram os outros sistemas de informação, e, também, a estratégia, modelos, métodos e técnicas utilizadas neste processo de fusão e integração dos SI’s, a fim de garantir o sucesso da operação. Analisa-se, igualmente, se este processo originou alguma (1) mudança tecnológica; (2) alterações dos perfis profissionais do pessoal das TSI’s; (3) quem foram os líderes e os actores principais; (4) como foi efectuada a gestão dos recursos humanos e, em especial, do pessoal das TSI’s e (5) quem sobreviveu à reestruturação que está, normalmente, associada a estes processos.
The present work concerns an investigation project focused on the transformations verified at the level of the Information Systems (IS) of the bank institutions submitted to Mergers and Acquisitions processes (M&A). This investigation, which aims at being an interpretative one, is fundamentally based on the study of the merger process case of several banks, which led to the creation of a great national bank of the present times: the BPI Bank. In this process of investigation several techniques have come together, which derive mainly from my quality of participant observer, to which has been added the analysis of a set of documents related to the process and which have been consolidated by a number of semi-structured interviews of the top actors in the process. BPI Bank was chartered on January 1998, as a result of the legal transformation of the former Banco de Fomento Exterior (BFE) in that entity and the later integration, by fusion, in different dates, of the former Banco Fonsecas & Burnay (BFB, May 1998), the former Banco Borges & Irmão (BBI, July 1998) and the former Universo Banco Directo (UBD, December 1998), which had been bought from SONAE – SGPS, in June 1998. It should be noted that the informatics’ platform chosen to support the IS's of the several banks was originally the BFB one, and for this reason, in May 1998, the contrary movement of legal merger took place, since the BFE IS's were the target of a data migration for the technological infra-structure of the BFB. To support this investigation work, we made a revision of the literature concerning the F&A’s that occurred in the financial system from the beginning of the 80's until the present time, in the most developed countries, namely the USA and the Fifteen EU countries ; we focused our attention in the role played by the IT/IS's in these processes, due to their qualification as a critical factor in the (non)-success in the M&A’s that has been attributed to them by several experts (Epstein 2005; Meckl, 2004; Johnston et al., 1996) and by several consultants and professionals of this area (Ãberg et al., 2004; Brown et al., 2003; McKinsey, 2001; Accenture, 2001, 2002a, 2002b; Popovich, 2001; KPMG, 1999). Through the analisys of the literature we found out that these processes are characterized by a great complexity, specially in the field of the TIS’s (Meckl, 2004) and demand a very careful management in several social areas (change, organizational culture, human resources, communication, leadership, organizational restructuring, etc.), as well as a detailed planning or the integration process, the migration and implementation routines, based on the strategies of business strategies, work processes, system needs and sinergy objectives (Meckl, 2004; Ãberg et al., 2004; Brown et al., 2003; Accenture, 2001; KPMG, 1999; Johnston et al., 1996) and the strict control of all process stages, in order that the same may be successful. In the case study of the BPI Bank we analysed the contribution of the different areas to the accomplishment of the final result, which we considered highly positive in the light of the investigation carried out. Within the scope of this thesis dissertation we present a brief history of each of the banks that gave origin to the BPI Bank (BFB, BBI, BFE e UBD), we then proceed to the description of the course followed by each of them until the moment of the fusion and operational integration; we then identify the factors that were decisive for the choice of the informatics’ platform (BFB), to which the other systems of information migrated, and also the strategy, the models, the methods and techniques used in this IS's fusion and integration processes, in order to achieve the success of the operation. We further analyse if this process caused any 1) technological change, 2) the alterations of the professional profiles of the staff of the TIS's; 3) who were the leaders and principal actors, 4) how the management of the human resources, and, in special , of the staff of the TIS's took place and (5) who survived the restructuring which is normally associated to these processes.
