Os créditos subordinados no processo de insolvência - as pessoas especialmente relacionadas com o devedor

Abstract

O tema que será objeto desta dissertação de mestrado prende-se com a temática dos créditos subordinados, em especial, com as pessoas que detêm uma relação próxima com o devedor. De facto, de todas as situações que nos levam à subordinação, foi esta última que nos levou a uma maior análise e reflexão, não só pela sua relevância, mas também pela sua atualidade e discussão, tanto a nível doutrinal, como jurisprudencial. A relevância deste tema é imensa, já que, como vamos ter oportunidade de ver ao longo de toda a dissertação, este tipo de credores, não obstante serem aqueles que ficarão em último lugar na graduação de créditos contemplada pelo nosso ordenamento jurídico, sujeitar-se-ão às múltiplas consequências que estão elencadas no CIRE. Pese embora se considere que estes credores, estão, alegadamente, numa posição privilegiada e mais propícia ao conhecimento da situação económica do devedor, cremos que deverá ter-se alguma cautela em relação a esta subordinação, pois, ao não se permitir sequer a possibilidade de o credor comprovar o contrário, poderemos estar a comprometer de forma séria a posição dos referidos credores, até injustamente. Perante a redação atual do disposto nos arts. 48º e 49º do CIRE, e as várias questões controversas no seio do nosso sistema jurídico, que veremos de seguida, iremos transpor algumas das soluções que poderiam ser adotadas no futuro, comparando com as redações de outros ordenamentos jurídicos e com as decisões dos nossos tribunais. Em suma, o propósito será sempre obter um equilíbrio entre a proteção dos credores, a massa insolvente e a realização da justiça, que, aliás, é um dos objetivos primórdios de toda a nossa vivência enquanto membros da comunidade.

The theme that will be the object of this master's dissertation is related to the subject of subordinated credits, especially, with people who have a close relationship with the debtor. In fact, of all the situations that lead us to subordination, it was the latter that led us to a greater analysis and reflection, not only for its relevance, but also for its current and discussion, both at the doctrinal and jurisprudential level. The relevance of this theme is immense, since, as we will have the opportunity to see, throughout the dissertation, this type of creditors, despite being those who will be in last place in the graduation of credits contemplated by our legal system, will be subject to the multiple consequences that are listed in our CIRE. Although it is considered that these creditors are allegedly in a privileged position and more conducive to the knowledge of the debtor's economic situation, we believe that some caution should be exercised in relation to this subordination, because by not even allowing the possibility for the creditor to prove otherwise, we may be seriously compromising the position of those creditors, even unfairly. Before the current wording of the provisions of the arts. 48th and 49th of CIRE, and the various controversial issues within our legal system, which we will then see, we will transpose some of the solutions that could be adopted in the future, comparing with the wording of other legal systems and with the decisions of our courts. In short, the purpose will always be to strike a balance between the protection of creditors, the insolvent mass and the realization of justice, which in fact is one of the primary objectives of our entire experience as members of the community.
