A indemnização de clientela no contrato de franquia

Abstract

O gosto pela temática, coadjuvado com o seu interesse académico e jurídico, fez nascer a ideia de abordar a temática da indemnização de clientela no contrato de franquia. O objetivo com este estudo foi perceber e explorar o contrato de franquia e a figura da indemnização de clientela. Para isso, tivemos que recorrer e analisar o diploma que regula o regime jurídico do contrato de agência, o Decreto-Lei 118/93 (artigo 33.º), no que concerne à sua cessação, onde surge e é colocado o problema da indemnização de clientela no contrato de agência. É a partir deste diploma que vamos abordar e explorar a atipicidade do contrato de franquia, mais especificamente, a eventual aplicação analógica deste regime da indemnização de clientela ao contrato de franquia. O presente estudo começará com uma evolução histórica do instituto da indemnização de clientela e franchising, percebendo suas origens, numa análise de direito comparado, seguindose uma caracterização da franquia, onde será abordado uma noção da mesma, suas modalidades e seus elementos essenciais. De seguida, será abordada a questão da aplicação analógica da indemnização de clientela ao contrato de franquia, sendo que, para isso, será analisada a agência, e ainda, o contrato de concessão comercial. Aqui, será suscitada a questão de saber-se se é possível haver um desvio à regra geral, que segundo esta, não há aplicação analógica da indemnização de clientela ao contrato de franquia. Por fim, será tratada a natureza da indemnização de clientela, onde tentaremos perceber e qualificar a norma do 33.º n.º1 do Decreto-Lei n.º 118/93, de 13 de abril, saber se estamos perante uma compensação ou um instituto de reparação de danos, ou ainda, noutro sentido, se pode ser vista como remuneração ou correspetivo, cumulável ou não com o enriquecimento sem causa.

The joy for the thematic combined with the academic and legal interest, gave the idea of approaching the issue of goodwill compensation claims in the franchise contract. The aim of this study was to explore and understand the franchise contract and the figure of goodwill compensation. To that end, we analysed the legal status of the agency contract, the Decree -Law 118/93 (Article 33), attending the termination of it, where the problem of the goodwill compensation claims in the franchise contract does arises. It is from this law that we will discuss and explore the atypical nature of the franchise contract, specifically, the analogical enforcement of goodwill compensation claims to the franchise contract. This study begins with a historical evolution of goodwill compensation claims institution and franchising, understanding its origins in a comparative law analysis, followed by a characterization of the franchise, in which it will be discussed the notion, its methods and its essential elements. Then, the issue of analogical application of goodwill compensation claims in the franchise contract, so it will be analysed the agency as well as the commercial concession contract. Here, we raised the question whether there can be a deviation from the general rule, which, according to this, there is no analogous application of goodwill compensation claims to the franchise contract. Finally, it will be discussed the nature of goodwill compensation claims where we try to understand and to qualify the standard 33 paragraph 1 of the Decree -Law No. 118/93 of April 13, to know if we have a compensation or institute for damages or, in another way, if it can be seen as compensation or reward, combined or not with unjust enrichment.
